Sagatone Music is offered solely to businesses, organisations and other professional entities. It is not offered to consumers, and we do not knowingly accept applications from, or license to, individuals acting in a private capacity.

By applying for an account, accepting a quote, or purchasing a license, you represent and warrant that:

• You are acting for purposes relating to your trade, business, craft or profession, and not as a consumer.
• You are a registered business or organisation, or are duly authorised to act on behalf of one, and the registration details you provide are accurate and current.
• You will keep those details up to date and tell us if your entity changes, ceases trading, or is struck off its register.

Because the service is not directed at consumers, statutory consumer protections do not apply to it. This includes, without limitation, any statutory right of withdrawal or cancellation for distance contracts. All prices quoted and displayed are exclusive of value added tax. If we later determine that you were in fact acting as a consumer, we may cancel the account and any affected license.

3. Use of the Service

You agree to use Sagatone Music in compliance with these Terms of Service and applicable laws. You must not:

• Use the service for any illegal or unauthorized purposes.
• Interfere with or disrupt the operation of the website.
• Access or attempt to access other users' accounts without permission.
• Use the music tracks for purposes not covered by your license agreement.
• Redistribute or resell the music tracks without proper licensing.

4. Application Process and Access Rights

Sagatone Music operates on an application-based access system. By using our service, you acknowledge and agree that:

• Access to our services is granted at our sole discretion
• We reserve the right to review, accept, or reject any application for access
• We may request additional information or documentation during the application process
• We may revoke access to our services at any time if we determine that continued access is not in our best interests
• We may modify or terminate access based on changes in business requirements or compliance needs
• We are not obligated to provide specific reasons for our decisions regarding access

By applying for and using our services, you acknowledge that we maintain full control over who can access our platform and that we may exercise this right without providing specific reasons for our decisions.

All content on Sagatone Music, including text, graphics, logos, software, and music tracks, is the property of Soothing Relaxation AS or its licensors and is protected by copyright and intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without express permission or a valid license agreement.

8. Licensing and Usage Rights

When you purchase a license for a music track through Sagatone Music:

• You are granted a non-exclusive, non-transferable license to use the track according to the terms of your specific license agreement.
• License terms vary based on the type of project and usage rights selected during purchase.
• You must comply with all restrictions and conditions specified in your license agreement.
• Licenses are granted in perpetuity for the project and territory stated in your agreement, and do not expire or require renewal. Using the music in a different project or territory requires a new license.

9. Payment Methods

Sagatone Music offers two secure payment options for purchasing licenses:

• Card payment: handled on a secure checkout page hosted by our payment processor. We never receive or store your card number.
• Bank transfer: against an invoice, payable by the due date stated on it

By choosing to make a payment:

• You agree to provide accurate and complete payment information
• You authorize us to charge the selected payment method for the agreed amount
• You understand that, as a business customer with no statutory right of withdrawal, all payments are non-refundable unless otherwise specified
• For bank transfers, you agree to pay the invoice within the specified timeframe
• You acknowledge that access to licensed content may be delayed until payment is confirmed

10. Termination

We reserve the right to suspend or terminate your access to Sagatone Music for any violation of these Terms of Service or any other reason at our discretion. In the event of termination, your license rights will be determined according to the terms of your specific license agreement.

11. Limitation of Liability

Soothing Relaxation AS is not liable for any direct, indirect, incidental, or consequential damages arising from your use of Sagatone Music. The service is provided "as is" and "as available" without warranties of any kind.

12. Governing Law

These Terms of Service are governed by the laws of Norway. Any dispute arising out of or in connection with these terms shall be settled by the City Court of Oslo, Norway, which is the same venue named in the license agreement.

13. Changes to the Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated effective date. Your continued use of Sagatone Music signifies acceptance of any updated terms.
